1. Acceptance of Terms

By accessing or using AdSwarm ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

AdSwarm provides AI-powered ad creative testing through simulated audience evaluation. The Service generates predictive analytics including estimated click-through rates, emotional responses, and engagement metrics using artificial intelligence agents.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.

4. Credits and Payments

The Service operates on a credit-based system. Credits are purchased through subscription plans or top-up purchases. All payments are non-refundable except as required by applicable law. Credits do not expire as long as your account remains active. Prices are subject to change with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes third-party intellectual property rights
  • Attempt to reverse-engineer, decompile, or extract the AI models
  • Use automated tools to scrape or abuse the Service
  • Resell or redistribute simulation results as a competing service
  • Upload content that is illegal, harmful, or violates the rights of others

6. Intellectual Property

You retain ownership of all ad creatives you upload to the Service. AdSwarm retains ownership of all simulation models, algorithms, and the Service itself. Simulation results are licensed to you for your internal business use.

7. Disclaimers

The Service provides predictive estimates, not guarantees of actual ad performance. Simulation results are based on AI models and may not reflect real-world outcomes. The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, AdSwarm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. In no event shall our aggregate liability exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. You may cancel your account at any time. Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon account termination.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
